Terms of Service

These Terms of Service ("Terms") govern your access to and use of UGSheets.ai ("UGSheets", "we", "us", or "our"), including our website, Google Sheets-based systems, automation workflows, and related services.

By accessing, booking a call, purchasing a plan, using our website, or accessing any UGSheets system, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

1. Description of Service

UGSheets.ai is an automation-based system that enables users to generate user-generated content (UGC) style marketing assets using structured inputs and third-party AI tools, delivered through a dedicated Google Sheets workspace.

A "generation row" represents one opportunity to produce a creative asset. Purchasing a plan or additional rows is not a guarantee that every row — or any specific number of rows — will produce a usable, error-free, or approved result. See Section 4.

UGSheets does not operate as a marketing agency and does not guarantee performance results, advertising approvals, or platform compliance.

2. Eligibility

You must be at least 18 years old to use UGSheets.

By using the Service, you confirm that you have the legal authority to enter into this agreement on behalf of yourself or your organization.

3. Acceptable Use and User Responsibilities

You are solely responsible for:

• The accuracy and legality of all content you submit.

• Ensuring that you have the rights and any necessary consents for any materials, images, voices, or likenesses you upload or reference.

• Reviewing all AI-generated outputs before publishing.

• Ensuring compliance with advertising laws, intellectual property laws, consumer protection laws, and platform policies (e.g., Meta, TikTok, YouTube).

You may not use UGSheets to create, upload, or publish content that:

• Is unlawful, misleading, defamatory, fraudulent, or infringing;

• Is sexually explicit, pornographic, depicts nudity, or sexualizes any individual — including through the use of reference photos of real people;

• Falsely presents AI-generated personas, voices, or performers as real customers, genuine testimonials, verified reviews, or authentic endorsements;

• Impersonates a real, identifiable person without their knowledge and consent, including through uploaded reference photos, voices, or likenesses; or

• Otherwise violates applicable advertising, endorsement, or consumer-protection laws, including rules on the use of AI-generated or fabricated testimonials.

If you publish AI-generated content produced through UGSheets as an endorsement, review, or testimonial-style asset, you are responsible for including any disclosure required by applicable law (for example, U.S. FTC rules requiring clear and conspicuous disclosure that an endorser or testimonial is AI-generated or synthetic).

UGSheets reserves the right to immediately suspend or terminate access for violations of this Section, without refund.

4. AI-Generated Content Disclaimer

UGSheets uses third-party AI systems to generate images, videos, audio, and text.

AI outputs may:

• Contain inaccuracies,

• Produce unexpected or unintended results,

• Resemble real persons unintentionally,

• Require regeneration or manual editing before use.

Purchasing a plan or a set of generation rows does not guarantee that all, or any specific number, of your rows will produce a usable, error-free, or "perfect" creative asset. UGSheets does not guarantee originality, uniqueness, legal compliance, or factual accuracy of AI-generated outputs, and does not control the underlying third-party AI models used to produce them.

You assume full responsibility for reviewing, editing, and approving any content before you publish or distribute it.

5. Third-Party Services

UGSheets integrates with third-party platforms and service providers, including website infrastructure, payment processors, automation tools, AI providers, cloud storage, and media delivery systems. (See our Privacy Policy for a list of the providers we currently use.)

We are not responsible for:

• Downtime or service interruptions,

• Changes in third-party pricing, availability, or policies,

• Output quality or errors from AI providers,

• Data handling practices of external services, which are governed by their own terms and privacy policies.

Your use of third-party services may also be subject to their own terms and policies.

6. Intellectual Property

The UGSheets system, automation architecture, workflows, scripts, branding, and underlying platform structure are proprietary to UGSheets.ai and remain our intellectual property.

You retain rights to the content you submit.

Generated outputs are provided to you for your use, subject to the terms of the third-party AI providers involved.

UGSheets does not claim ownership over your brand assets or submitted materials.

7. Payment, Pricing, Cancellation, and Refunds

Plans are offered as a one-time payment for a fixed number of generation rows within a dedicated workspace, as described on our pricing page at the time of purchase. Additional generation rows may be purchased separately at the prices shown at checkout.

If you are entitled to protection under the Israeli Consumer Protection Law, 5741-1981, or an equivalent mandatory consumer-protection law of your own country of residence, you have the right to cancel this transaction, as a distance sale, within 14 days of the date of purchase or of receiving these Terms, whichever is later.

By purchasing a plan, you expressly request that we begin preparing your dedicated workspace immediately, without waiting for that 14-day period to elapse. Once workspace setup has begun at your request, your statutory cancellation right ends and the purchase becomes non-refundable, consistent with the Consumer Protection Law's exemption for services that have begun with the consumer's consent before the end of the cancellation period. If you cancel before setup has begun, contact hello@ugsheets.ai and we will provide a full refund.

Except as set out above:

• Purchases are non-refundable once workspace setup has begun.

• Access may be suspended for non-payment.

• Chargebacks may result in immediate suspension or termination of access.

Generated-file download links displayed in your workspace remain active only for a limited period (currently 7–14 days, as stated on our pricing page). You are responsible for downloading and backing up your generated assets promptly.

8. No Performance Guarantees

UGSheets does not guarantee:

• Advertising results,

• Revenue increases,

• Platform approvals,

• Content performance metrics,

• Business outcomes of any kind.

Marketing comparisons on our website (for example, comparisons to the cost of hiring individual UGC creators) are illustrative only and are not a guarantee of savings, results, or equivalent output quality. You acknowledge that marketing results depend on many factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, UGSheets and its operator shall not be liable for:

• Indirect, incidental, or consequential damages,

• Loss of profits, revenue, or data,

• Advertising account suspensions,

• Legal claims arising from your use of generated content.

Total liability, if any, shall not exceed the amount paid by you to UGSheets in the preceding 3 months.

10. Indemnification

You agree to indemnify and hold UGSheets harmless from any claims, damages, losses, or legal expenses arising from:

• Your use of the Service,

• Content you generate, upload, or publish,

• Violations of these Terms, applicable laws, or third-party rights.

11. Data Retention

Workspaces that show no activity for 90 consecutive days (approximately 3 months) — meaning no usage, no workflow execution, and no generation activity — are archived. Archiving preserves your workspace's data (including rows, media, and prompts) but suspends your ability to use the workspace.

An archived workspace can be reactivated ("revived") by making a new purchase of a UGSheets plan or generation rows, or at our discretion. Making a new purchase does not guarantee that the same archived workspace, rather than a new one, will be revived — contact hello@ugsheets.ai if you need a specific archived workspace restored.

We may permanently delete archived data at our discretion, particularly after extended continued inactivity, in order to manage storage and system resources. Users are responsible for backing up any important data. Deletion, once performed, may not be recoverable, and UGSheets is not responsible for any loss of data resulting from archiving or deletion under this Section.

Purchased rows do not have a separate expiration date and remain available for use as part of your workspace for as long as it remains active, subject to the archiving policy above.

12. Suspension and Termination

We reserve the right to suspend or terminate access if you:

• Violate these Terms, including the Acceptable Use rules in Section 3,

• Engage in unlawful or abusive behavior,

• Attempt to misuse or reverse-engineer the system.

13. Changes to the Service

We may modify, suspend, or discontinue any part of the Service — including features, pricing, or the AI providers we use — at any time. We will make reasonable efforts to notify active customers of material changes affecting their workspace.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without prejudice to any mandatory consumer-protection rights you may have under the law of your own country of residence.

Any disputes shall be resolved in the competent courts of Israel, unless applicable law requires otherwise.

15. Modifications to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do. Continued use of the Service after updates constitutes acceptance of the revised Terms.
