Terms of Service

These Terms of Service (“Terms”) govern your access to and use of UGSheets.ai (“UGSheets”, “we”, “us”, or “our”), including our website, Google Sheets-based systems, automation workflows, and related services.

By accessing, booking a call, using our website, or accessing any UGSheets system, you agree to be bound by these Terms.

If you do not agree, do not use the service.

1. Description of Service

UGSheets.ai is an automation-based system that enables users to generate user-generated content (UGC) style marketing assets using structured inputs and third-party AI tools.

UGSheets does not operate as a marketing agency and does not guarantee performance results, advertising approvals, or platform compliance.

2. Eligibility

You must be at least 18 years old to use UGSheets.

By using the service, you confirm that you have the legal authority to enter into this agreement on behalf of yourself or your organization.

3. User Responsibilities

You are solely responsible for:

• The accuracy and legality of all content you submit.
• Ensuring that you have rights to any materials you upload or reference.
• Reviewing all AI-generated outputs before publishing.
• Ensuring compliance with advertising laws, intellectual property laws, and platform policies (e.g., Meta, TikTok, YouTube).

You may not use UGSheets to create unlawful, misleading, defamatory, fraudulent, or infringing content.

You may not use UGSheets to generate, upload, or process content that is sexually explicit, pornographic, depicts nudity, or sexualizes any individual — including through the use of reference photos of real people. UGSheets reserves the right to immediately suspend or terminate access for violations of this policy, without refund.

4. AI-Generated Content Disclaimer

UGSheets uses third-party AI systems to generate images, videos, audio, and text.

AI outputs may:
• Contain inaccuracies,
• Produce unexpected or unintended results,
• Resemble real persons unintentionally.

UGSheets does not guarantee originality, uniqueness, legal compliance, or factual accuracy of AI-generated outputs.

You assume full responsibility for any content you publish or distribute.

5. Third-Party Services

UGSheets integrates with third-party platforms and service providers, including website infrastructure, automation tools, AI providers, cloud storage, and media delivery systems.

We are not responsible for:
• Downtime or service interruptions,
• Changes in third-party pricing or policies,
• Output quality from AI providers,
• Data handling practices of external services.

Your use of third-party services may also be subject to their terms and policies.

6. Intellectual Property

The UGSheets system, automation architecture, workflows, scripts, branding, and underlying platform structure are proprietary to UGSheets.ai and remain our intellectual property.

You retain rights to the content you submit.

Generated outputs are provided to you for your use, subject to the terms of the third-party AI providers involved.

UGSheets does not claim ownership over your brand assets or submitted materials.

7. Payment and Refunds

If applicable, paid services are subject to agreed pricing terms.

Unless otherwise specified in writing:
• Payments are non-refundable.
• Access may be suspended for non-payment.
• Chargebacks may result in immediate termination of access.

8. No Performance Guarantees

UGSheets does not guarantee:
• Advertising results,
• Revenue increases,
• Platform approvals,
• Content performance metrics,
• Business outcomes of any kind.

You acknowledge that marketing results depend on many factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, UGSheets and its operator shall not be liable for:

• Indirect, incidental, or consequential damages,
• Loss of profits, revenue, or data,
• Advertising account suspensions,
• Legal claims arising from your use of generated content.

Total liability, if any, shall not exceed the amount paid by you to UGSheets in the preceding 3 months.

10. Indemnification

You agree to indemnify and hold UGSheets harmless from any claims, damages, losses, or legal expenses arising from:

• Your use of the service,
• Content you generate or publish,
• Violations of laws or third-party rights.

11. Data Retention

UGSheets may delete inactive accounts or associated data after 90 days of inactivity in order to maintain system performance and storage efficiency.

Inactivity may include lack of usage, no workflow execution, or no generation activity within the system.

Users are responsible for backing up any important data.

UGSheets may perform such deletion without prior notice.

Deleted data may not be recoverable, and UGSheets is not responsible for any loss of data resulting from such deletion.

We reserve the right to retain or delete data at our discretion.

Purchased rows do not have a separate expiration date and remain available for use as part of your workspace.

12. Suspension and Termination

We reserve the right to suspend or terminate access if you:

• Violate these Terms,
• Engage in unlawful or abusive behavior,
• Attempt to misuse or reverse-engineer the system.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel.

Any disputes shall be resolved in the competent courts of Israel.

14. Modifications

We may update these Terms from time to time. Continued use of the service after updates constitutes acceptance of the revised Terms.
